Terms for using Ensemble

These Terms of Service govern your access to and use of services provided by Informant Holdings Group Inc, a Delaware corporation doing business as Ensemble Neuroscience, including our websites, waitlists, products, applications, assessments, models, research tools, and related services.

By accessing or using the services, you agree to these terms. If you use the services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the services.

1. Our Services

Ensemble builds neuroscience technology that integrates MRI, EEG, clinical data, voice or audio signals, assessments, and other relevant information into models and workflows intended to support more precise brain care, research, and product development. The services may include websites, waitlists, software applications, AI-enabled tools, research features, professional workflows, data processing, and support.

We may change, suspend, remove, or discontinue any feature or service at any time. Some services may be subject to separate agreements, order forms, research consents, business associate agreements, data processing agreements, or institutional terms. If a separate written agreement conflicts with these terms for a specific service or dataset, the separate agreement controls for that service or dataset.

2. Eligibility and Accounts

You must be at least 18 years old to use the services unless a separate agreement, consent process, or authorized program permits otherwise. You are responsible for keeping account credentials confidential and for activity under your account.

You agree to provide accurate information and to keep it current. We may suspend or terminate access if information is inaccurate, incomplete, unauthorized, unlawful, or inconsistent with these terms.

3. Privacy and Sensitive Data

Our Privacy Policy explains how we collect, use, disclose, and retain personal information, including sensitive personal information. By using the services, you acknowledge that we may process categories such as health, clinical, neural, MRI, EEG, voice, audio, biometric, protected-classification, professional, employment-related, communications, and inference data when those categories are part of a feature, program, workflow, or dataset.

If you submit information about another person, including patient, participant, employee, applicant, clinician, researcher, or family information, you represent that you have all rights, notices, consents, authorizations, and legal bases required to provide that information to us and allow us to process it under these terms and any applicable agreement.

4. Voice, Audio, Biometric, and Sensor Features

Some services may capture or process voice recordings, audio, video, sensor signals, biometric identifiers, voiceprints, voice-derived features, electronic activity, sensory information, or similar data. You consent to that processing when you choose to use those features or when such processing is authorized under an applicable agreement, consent, or program.

You may not record or submit another person's voice, biometric information, health information, neural data, protected-classification data, or other sensitive information unless you have authority and consent to do so.

5. Health, Clinical, and Emergency Limits

The services are not an emergency service. If you or someone else may be experiencing a medical emergency, psychiatric emergency, or risk of harm, call emergency services or seek immediate in-person medical care.

Unless we expressly state otherwise in a separate written agreement, the services are not a substitute for professional medical judgment, diagnosis, treatment, or care. Clinicians and other professional users remain responsible for their independent judgment, patient care decisions, and compliance with professional, clinical, institutional, and legal obligations.

6. AI, Models, and Outputs

The services may use AI, machine learning, statistical modeling, simulation, or other automated systems to generate derived data, predictions, inferences, summaries, recommendations, risk indicators, or other outputs. Outputs may be incomplete, inaccurate, biased, delayed, or inappropriate for a particular use.

You must evaluate outputs before relying on them. You may not use outputs as the sole basis for medical, clinical, employment, insurance, eligibility, legal, or similarly consequential decisions unless expressly authorized under an applicable agreement and law.

7. Your Responsibilities

  • Use the services only for lawful, authorized purposes.
  • Do not upload data you are not authorized to provide.
  • Do not attempt to re-identify de-identified data unless expressly permitted.
  • Do not interfere with, reverse engineer, scrape, overload, or compromise the services.
  • Do not use the services to violate privacy, healthcare, employment, research, intellectual property, export, sanctions, or anti-discrimination laws.
  • Do not submit malicious code, unlawful content, or content that infringes another person's rights.
  • Comply with all notices, consents, contracts, research protocols, institutional approvals, and laws that apply to your use.

8. User Content and Data License

You retain ownership of content and data you submit, subject to any separate agreement. You grant us a limited license to host, process, transmit, analyze, create derived data from, display, and otherwise use that content and data as needed to provide, operate, secure, support, evaluate, and improve the services, and as otherwise described in the Privacy Policy or an applicable agreement.

We may use de-identified, aggregated, or otherwise privacy-protective data for analytics, research, model evaluation, safety, and product improvement where permitted by law and applicable agreements.

9. Intellectual Property

We and our licensors own the services, software, models, designs, content, trademarks, documentation, and other intellectual property we provide. These terms do not transfer ownership of our intellectual property to you.

If you provide feedback or suggestions, you grant us the right to use them without restriction or compensation.

10. Third-Party Services

The services may rely on third-party providers for hosting, analytics, bot protection, email delivery, payment processing, AI infrastructure, support, storage, security, and related operations. Third-party services may have their own terms and privacy notices.

11. Payments

If paid services are offered, you agree to pay all applicable fees, taxes, and charges according to the applicable order form, checkout page, or agreement. Payment processing may be handled by third-party providers.

12. Suspension and Termination

We may suspend or terminate access if you violate these terms, create risk for the services or others, fail to pay amounts owed, or use the services in an unauthorized, unlawful, or harmful way. You may stop using the services at any time.

13. Disclaimers

The services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

We do not guarantee that the services, models, outputs, data, or content will be accurate, complete, uninterrupted, secure, error-free, or suitable for any particular clinical, research, employment, business, or personal purpose.

14. Limitation of Liability

To the fullest extent permitted by law, Informant Holdings Group Inc, a Delaware corporation, and its officers, directors, employees, contractors, advisors, affiliates, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, reputational harm, or similar losses arising from or related to the services.

To the fullest extent permitted by law, our total liability for claims arising from or related to the services will not exceed the greater of the amount you paid us for the services giving rise to the claim in the three months before the claim or one hundred U.S. dollars.

15. Indemnification

You agree to defend, indemnify, and hold harmless Informant Holdings Group Inc, a Delaware corporation, from claims, damages, liabilities, losses, costs, and expenses arising from your use of the services, your data or content, your violation of these terms, or your violation of another person's rights or applicable law.

16. Governing Law

These terms are governed by the laws of California, without regard to conflict of law rules, unless a separate written agreement states otherwise or applicable law requires a different governing law.

17. Changes to These Terms

We may update these terms from time to time. The updated terms will be posted on this page with a new "Last updated" date. Your continued use of the services after the updated terms are posted means you accept the updated terms.
